NOWPSYCH TERMS OF USE, TERMS AND CONDITIONS

These terms and conditions of use (“Terms of Use”) govern your use of our online interfaces and properties (e.g., websites) owned and controlled by NowPsych, PLLC and Sean Paul, M.D., P.C. d/b/a NowPsych (collectively, “NowPsych,” “we,” “us,” and “our”), including the www.nowpsych.com website (collectively, the “Site”), as well as the services (“Services”) available to users through the Site. The terms “you” and “your” mean you, your dependent(s) if any, and any other person accessing your NowPsych Account.

Your acceptance of, and compliance with, these Terms of Use is a condition to your use of the Site and Services. By clicking “accept,” creating an account, or otherwise using the Site or Services, you acknowledge that you have read, understand, and accept all terms and conditions contained within these Terms of Use and our Privacy Policy. If you do not agree to be bound by these terms, you are not authorized to access or use this Site or Services; promptly exit this Site.

BINDING ARBITRATION. These Terms of Use provide that most disputes between you and NowPsych that in any way relate to these Terms of Use or your use of the Site will be resolved by BINDING ARBITRATION on an individual basis. ACCORDINGLY, YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT (INCLUDING IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING) to assert or defend your rights under these Terms of Use, except as expressly set forth in Section 19. Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury, and your claims cannot be brought as a class action. Please review Section 19 (Dispute Resolution; Arbitration Agreement) below for the details regarding your agreement to arbitrate any disputes with NowPsych, including how to opt out.


1. Privacy Practices

You agree that information provided by you in connection with the Services and Site shall be governed by the NowPsych Privacy Policy and our Notice of Privacy Practices (provided at intake), which are hereby incorporated and made a part of these Terms of Use.

NowPsych is a covered entity under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations (collectively, “HIPAA”). Protected health information (“PHI”) you share with NowPsych or our Providers is handled in accordance with HIPAA, applicable state privacy laws (including the Florida Information Protection Act and the Colorado Privacy Act), and our Notice of Privacy Practices. Information you submit through general-purpose Site features that is not PHI (e.g., website analytics, marketing inquiries) is governed by our Privacy Policy.

2. No Medical Care or Advice on the Site

Our Site does not provide medical advice or care, including psychological or psychiatric advice. NowPsych healthcare professionals (“Providers”) provide psychiatric and psychological services to their patients through secure third-party clinical platforms (such as our electronic health record and HIPAA-compliant video platforms), and not through this public Site. Your interactions with the Providers via the Site are not intended to take the place of your relationship with your regular health care practitioners, primary care physician, or psychological services provider.

The content of the Site, including without limitation, text, copy, audio, video, photographs, illustrations, graphics, blog posts, AI-generated summaries, automated chat responses, and other visuals, is for informational purposes only and does not constitute professional medical or psychological advice, diagnosis, treatment, or recommendations of any kind. You should always seek the advice of qualified health care professionals with any questions or concerns you may have regarding your individual needs and any medical or psychological conditions.

All information provided by NowPsych on the Site, or in connection with general communications supported by the Site, is intended to be for general information purposes only, and is in no way intended to create a doctor-patient or provider-patient relationship as defined by state or federal law. A doctor-patient or provider-patient relationship is established only when you are formally accepted as a patient by a NowPsych Provider, complete intake, and consent to treatment.

3. Not for Emergencies

IF YOU ARE EXPERIENCING A MEDICAL OR MENTAL HEALTH EMERGENCY, DIAL 911 IMMEDIATELY.

NowPsych’s Site and Services are not for medical emergencies or urgent situations. Do not disregard or delay seeking medical advice based on anything that appears or does not appear on the Site.

If you are experiencing thoughts of suicide, self-harm, or a mental health crisis, call or text 988 to reach the 988 Suicide & Crisis Lifeline (available 24/7, free and confidential), or chat at 988lifeline.org. Veterans may press 1; Spanish speakers may press 2.

You should seek emergency help or follow-up care when recommended by a Provider or when otherwise needed. You should continue to consult with your primary provider and other healthcare professionals as recommended.

4. Telehealth and Telepsychiatry: Risks and Acknowledgments

NowPsych offers in-person psychiatric care at our Florida and Colorado locations, as well as telehealth (telepsychiatry) services to patients located in states where our Providers are licensed. By using telehealth Services, you acknowledge and accept the following:

  • Telehealth involves the use of electronic communications, information technology, or other means between a Provider and a patient who are not in the same physical location.
  • The information transmitted (e.g., images, audio, video, written messages) may not be sufficient in all cases to allow for appropriate clinical decision-making by the Provider; in such cases the Provider may require an in-person visit.
  • Delays in evaluation or treatment could occur due to deficiencies or failures of electronic equipment, internet connectivity, or third-party platforms.
  • A lack of access to all of your medical records may result in adverse drug interactions, allergic reactions, or other clinical judgment errors.
  • Although we use platforms that incorporate network and software security protocols (including encryption) to protect the privacy and security of health information, no system is perfectly secure, and a breach of privacy is possible.
  • Audio-only or asynchronous (e.g., messaging) communications carry greater limitations than live audio-video visits.

You agree to be physically located in a state where your Provider is licensed at the time of any telehealth visit, and to truthfully disclose your physical location at the start of each visit. Receiving telehealth Services while physically located outside of a state where your Provider is licensed may not be permitted under applicable law.

5. Prescription Policy

NowPsych and its Providers do not endorse any specific medication, pharmacy, or pharmacological product. Whether to prescribe any medication is at the sole clinical discretion of the treating Provider.

Prescribing of controlled substances (including but not limited to stimulants used to treat ADHD, benzodiazepines, and other Schedule II–V medications) is highly restricted and subject to applicable federal law (including the Ryan Haight Act and current DEA telemedicine rules), state law, and NowPsych’s clinical policies. Federal telemedicine flexibilities for prescribing controlled substances have been extended on a temporary basis and are subject to change; NowPsych’s policies on remote prescribing of controlled substances may change accordingly, with or without notice.

NowPsych Providers, in their sole clinical discretion, may decline to prescribe any controlled substance, may require an in-person visit, may require a prescription drug monitoring program (PDMP) check, may require coordination with another treating clinician, or may decline to continue Services for actual or suspected misuse, diversion, or non-compliance.

6. Not an Insurance Product

NowPsych is not an insurer. The Services are not insurance products, and the amounts you pay to NowPsych or the Providers are not insurance premiums. If you desire any type of health or other insurance, you must purchase such insurance separately. You are responsible for understanding what, if any, portion of your care may be reimbursable by your insurer.

7. Availability of Services

NowPsych and the Providers operate subject to state and federal regulations, and the Services may not be available in your state. Access to and use of the Services is limited exclusively to users physically located in states within the United States where NowPsych Providers are licensed and where the Services are offered. Services are not available to users located outside the United States. Accessing the Site or Services from jurisdictions where content is illegal, or where we do not offer Services, is prohibited.

8. Eligibility; Account Access, Security, and Restrictions; Passwords

To create an account and receive Services, you represent and warrant that you are 18 years of age or older. Patients under the age of 18 may receive Services only when their parent or legal guardian creates and maintains the Account on their behalf, submits required information, and agrees to these Terms of Use and the Privacy Policy on the minor’s behalf.

You agree to fully, accurately, and truthfully complete your NowPsych Account (“Account”), including but not limited to your legal name, date of birth, mailing address, phone number, email address, and password. Your login credentials are personal to you, and you are solely responsible for maintaining their confidentiality and for all activities that occur under your Account. You agree to prohibit anyone else from using your credentials and to immediately notify NowPsych of any actual or suspected unauthorized use or other security concern. NowPsych may revoke your access to the Site at any time, with or without cause.

You are prohibited from violating or attempting to violate the security of the Site, including (a) accessing data not intended for you or logging onto a server or account you are not authorized to access; (b) attempting to probe, scan, or test the vulnerability of any system or network or to breach security or authentication measures; or (c) accessing or using the Site or any portion thereof in violation of these Terms of Use or applicable law.

You may not use any scraper, crawler, spider, robot, or other automated means to access or copy data on the Site, deep-link to any feature or content on the Site, or bypass robot exclusion headers or other measures we may use to prevent or restrict access. You may not use any data, content, or output from the Site to train, fine-tune, or develop any artificial intelligence or machine-learning model. Violations may result in civil or criminal liability, and NowPsych may investigate and cooperate with law enforcement.

9. Electronic Communications

When you use the Site or Services, or send emails, messages, or other communications from your desktop or mobile device to us, you are communicating with us electronically. You consent to receive communications from us electronically. You agree that (a) all agreements and consents may be signed electronically and (b) all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such notices be in writing.

By providing your phone number, you agree to be contacted by or on behalf of NowPsych and a Provider at the number you provided, including by call and SMS/MMS text message, for purposes such as appointment scheduling and reminders, billing, clinical follow-up, and informational communications about the Services. Message and data rates may apply. Message frequency varies. You can opt out of marketing text messages by replying STOP, or opt out of further marketing calls or emails by emailing contact@nowpsych.com. Please note that opting out of clinical/transactional messages (such as appointment reminders) may impair our ability to provide Services to you.

10. Ownership of the Site and Related Materials; Additional Restrictions

All pages within this Site and any material made available for download are the property of NowPsych, or its licensors or suppliers, as applicable. The Site is protected by United States and international copyright and trademark laws.

Subject to these Terms of Use, NowPsych grants you a revocable, nontransferable, personal, nonexclusive license to use the Site for its intended purposes. All rights not expressly granted to you are reserved. Neither the Site and Services, nor any part of them, may be reproduced, duplicated, copied, sold, resold, scraped, or otherwise exploited for any commercial purpose without express written consent of NowPsych. You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information of NowPsych without express written consent. You may not use any meta tags or “hidden text” utilizing NowPsych’s name or trademarks without express written consent.

11. Users Under 18 Years Old

The Site is not directed to children under the age of 13, and we do not knowingly collect personal information directly from children under 13 through the Site. Accounts and Services for patients under 18 must be created and maintained by a parent or legal guardian who agrees to these Terms of Use on the minor’s behalf. If you believe we have collected personal information directly from a child under 13 without the required parental consent, please Contact Us or email us at contact@nowpsych.com, and we will promptly delete such information.

12. Accuracy of Information; Functionality

Although NowPsych attempts to ensure the integrity and accuracy of the Site and Service descriptions, it makes no representations, warranties, or guarantees as to the correctness or accuracy of the Site, Service descriptions, blog posts, or other content. The Site may contain typographical errors, inaccuracies, or other errors, and unauthorized additions, deletions, and alterations could be made to the Site by third parties. If you discover an inaccuracy, please inform NowPsych so that it can be corrected. Information on the Site may be changed or updated without notice.

NowPsych and the Providers each reserve complete and sole discretion with respect to the operation of the Site and Services. We may withdraw, suspend, or discontinue any functionality or feature of the Site or the Services. We are not responsible for transmission errors, corruption, or compromise of information carried over local or interchange telecommunications carriers, nor for issues caused by third-party platforms.

13. Links to Other Sites and Third-Party Services

The Site contains links to, and the Services are delivered in part through, third-party platforms and websites — for example, our electronic health record vendor, our telehealth video platform, payment processors, and patient-portal providers. NowPsych makes no representations about any third-party site or service. When you access a non-NowPsych site or service, you do so at your own risk; NowPsych has no control over the content or practices of those third parties, and a link or integration does not constitute endorsement. You are responsible for reviewing the terms of service and privacy policies of any third-party platform you use.

14. User Information

If you submit, upload, post, or transmit any health or psychiatric information, medical or psychiatric history, conditions, problems, symptoms, personal information, consent forms, agreements, requests, comments, ideas, suggestions, files, videos, images, or other materials to us or our Site (“User Information”), you agree not to provide any User Information that (1) is false, inaccurate, defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior; (2) violates or infringes the privacy, copyright, trademark, trade dress, trade secrets, or intellectual property rights of any person or entity; or (3) contains or transmits a virus or any other harmful component. You agree not to contact other Site users through unsolicited email, telephone calls, mailings, or any other method of communication. You represent and warrant to NowPsych and the Providers that you have the legal right and authorization to provide all User Information.

NowPsych and the Providers may de-identify your information in accordance with HIPAA such that it is no longer considered PHI or personally identifiable information, and may use, disclose, aggregate, or sell such de-identified information for analytics, research, quality improvement, or other lawful purposes.

You agree not to (i) access the Site or use the Services in any unlawful way or for any unlawful purpose; (ii) post or transmit a message under a false name, or any data or content that is libelous, defamatory, obscene, fraudulent, or contrary to the intellectual property rights of any other person, or that contains any virus, worm, Trojan horse, time bomb, malware, or other malicious code; (iii) impersonate or misrepresent your identity or your affiliation with any person or entity; (iv) tamper, hack, spoof, copy, modify, or otherwise corrupt the administration, security, or proper function of the Site or Services; (v) use robots or automated scripts with the Site; (vi) attempt to reverse engineer, reverse assemble, decompile, or disassemble any portion of the Site; (vii) override the internet browser’s cookies setting through antivirus or antispyware software for the purpose of circumventing the Site’s security; (viii) misidentify the sender of any message transmitted to NowPsych; (ix) harvest or collect personal information about any other user; or (x) infringe or facilitate infringement on any copyright, patent, trademark, trade secret, or other proprietary, publicity, or privacy rights of any party.

You agree to defend, indemnify, and hold harmless NowPsych and the Providers from and against all third-party claims, damages, and expenses (including reasonable attorneys’ fees) arising out of any User Information you upload to or transmit through the Site.

15. Claims of Copyright Infringement

NowPsych respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act (“DMCA”), we will respond promptly to notices of alleged infringement that are reported to NowPsych’s Designated Copyright Agent, identified below.

If you believe that your copyrighted work has been infringed on the Site, please send a written notice (“Copyright Notice”) to our Copyright Agent that includes:

  1. Identification of the copyrighted work claimed to have been infringed.
  2. Identification of the material claimed to be infringing, including a URL or other location on the Site.
  3. Your mailing address, telephone number, and, if available, email address.
  4. The following statements:
    • “I hereby state that I have a good faith belief that the disputed use of the copyrighted material is not authorized by the copyright owner, its agent, or the law (e.g., as a fair use).”
    • “I hereby state that the information in this Copyright Notice is accurate and, under penalty of perjury, that I am the owner, or authorized to act on behalf of the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed.”
  5. Your full legal name and your electronic or physical signature.

16. Intellectual Property

With the exception of your electronic medical or treatment record (which is subject to HIPAA and applicable state law), NowPsych and the Providers retain all right, title, and interest in and to the Site, the Services, and any information, products, documentation, software, or other materials on the Site, including all patents, copyrights, trade secrets, trademarks, service marks, and other intellectual property rights. You agree not to store, copy, modify, reproduce, retransmit, distribute, disseminate, rent, lease, loan, sell, publish, broadcast, display, or circulate such information to anyone. Use, reproduction, copying, or redistribution of NowPsych’s and the Providers’ trademarks, service marks, and logos is strictly prohibited without prior written permission.

NowPsych may delete any User Information that it deems, in its sole discretion, fraudulent, abusive, defamatory, obscene, or in violation of copyright, trademark, or other intellectual property rights of any other person or entity.

17. CAN-SPAM Act and Telephone Consumer Protection Act Compliance

NowPsych and the Providers are committed to compliance with the Controlling the Assault of Non-Solicited Pornography and Marketing Act (“CAN-SPAM Act”) and the Telephone Consumer Protection Act (“TCPA”). You consent to receive calls and text messages from us as set forth in Section 9 (Electronic Communications). If you receive an email or text message from us that you believe does not comply with the CAN-SPAM Act or TCPA, please contact us at contact@nowpsych.com.

You shall not use, or permit any of your employees, agents, or affiliates to use, NowPsych Services or content to market, promote, or solicit products or services in ways that would violate the CAN-SPAM Act, the TCPA, or any other law. You shall indemnify and hold NowPsych harmless against and from losses, damages, costs, and reasonable attorneys’ fees incurred in defending or resolving any suits arising out of any alleged violation of any anti-spam laws by you. Your Account may be terminated for any of the above infractions.

18. Disclaimer of Warranties

NOWPSYCH DOES NOT WARRANT THAT ACCESS TO OR USE OF THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS IN THE SITE WILL BE CORRECTED. THIS SITE, INCLUDING ANY CONTENT OR INFORMATION CONTAINED WITHIN IT OR ANY SITE-RELATED SERVICE, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY OF INFORMATION, QUIET ENJOYMENT, AND TITLE/NON-INFRINGEMENT. NOWPSYCH DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF THE INFORMATION OBTAINED THROUGH THE SITE.

YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THIS SITE, SITE-RELATED SERVICES, AND LINKED WEBSITES. NOWPSYCH DOES NOT WARRANT THAT FILES AVAILABLE FOR DOWNLOAD WILL BE FREE OF VIRUSES, WORMS, TROJAN HORSES, OR OTHER DESTRUCTIVE PROGRAMMING. YOU ARE RESPONSIBLE FOR IMPLEMENTING PROCEDURES SUFFICIENT FOR YOUR DATA BACKUP AND SECURITY NEEDS.

NOWPSYCH DOES NOT GUARANTEE THAT ANY PRESCRIPTION WILL BE WRITTEN FOR YOU THROUGH USE OF THE SERVICES. PRESCRIBING DECISIONS, INCLUDING DECISIONS REGARDING CONTROLLED SUBSTANCES, ARE WITHIN THE SOLE CLINICAL DISCRETION OF THE TREATING PROVIDER.

19. Dispute Resolution; Arbitration Agreement

We will work in good faith to resolve any issue you have with the Site or Services if you bring that issue to our attention. However, in the rare cases where an issue cannot be resolved informally, the following provisions apply.

a. Healthcare exception. Nothing in this Section 19 is intended to require arbitration of any claim that, under applicable state or federal law, cannot be subject to a pre-dispute arbitration agreement, including any claim of medical malpractice or professional negligence to the extent such pre-dispute arbitration is restricted by law. Any such claim may be brought in a court of competent jurisdiction.

b. Agreement to arbitrate. Subject to Section 19(a) and Section 19(g) (right to opt out), you and NowPsych agree that any dispute, claim, or controversy arising out of or relating in any way to these Terms of Use or your use of the Site shall be determined by binding arbitration on an individual basis instead of in courts of general jurisdiction. Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury and is subject to limited court review. The U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision.

c. Notice and informal resolution. Before initiating arbitration, you must first send NowPsych, by certified mail, a written notice describing the nature and basis of the claim and the specific relief sought (“Notice”). The Notice must be addressed to: Attn: Legal, NowPsych, PLLC, 15 Paradise Plaza, #172, Sarasota, FL 34239 (“Notice Address”). If NowPsych elects to seek arbitration against you, it will send a Notice to the most recent address on file for you. If the parties do not reach an agreement within 30 days after the Notice is received, either party may commence an arbitration proceeding or file a claim in small claims court (see Section 19(f)).

d. Arbitration rules and forum. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, “AAA Rules”), as modified by these Terms of Use. The AAA Rules are available at www.adr.org, by calling 1-800-778-7879, or by writing to us at the Notice Address. The arbitrator is bound by these Terms of Use. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of this arbitration agreement, except that issues of class or representative arbitrability are reserved for a court (see Section 19(e)). Unless the parties agree otherwise, any in-person arbitration hearings will take place in the county of your billing address. If your claim is for US $10,000 or less, you may elect that the arbitration be conducted by submission of documents, by telephonic/video hearing, or by an in-person hearing.

e. Class action waiver. YOU AND NOWPSYCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide that relief. If a court decides that this class action waiver is unenforceable as to any particular claim or relief, then that claim or relief (and only that claim or relief) shall be severed and may proceed in court, while all other claims shall remain in arbitration.

f. Small claims. Either party may bring an individual action in small claims court for any dispute within that court’s jurisdiction, in lieu of arbitration.

g. Right to opt out. You may opt out of this arbitration agreement. To opt out, you must send written notice of your decision to opt out, postmarked within 30 days of the date you first accept these Terms of Use, to: Attn: Legal — Arbitration Opt-Out, NowPsych, PLLC, 15 Paradise Plaza, #172, Sarasota, FL 34239. The notice must include your full name, mailing address, email address used to create your Account (if any), and a clear statement that you do not wish to resolve disputes with NowPsych through arbitration. Opting out will not affect any other provision of these Terms of Use.

h. Survival and severability. This Section 19 shall survive termination of these Terms of Use. If any portion of this Section 19 (other than the class action waiver) is found unenforceable, that portion shall be severed, and the remainder shall remain in effect.

20. Force Majeure

We will not be deemed to be in breach of these Terms or our Privacy Policy due to any event or occurrence beyond our reasonable control, including without limitation, acts of God, terrorism, war, invasion, public health emergencies or pandemics, failures of any public networks, electrical or telecommunications outages, earthquakes, floods or other natural disasters, civil disorder, strikes, fire, or similar events.

21. Indemnification

You agree to defend, indemnify, and hold harmless NowPsych, the Providers, and their affiliates from and against any and all rights, demands, losses, liabilities, damages, claims, causes of action, actions, suits, fees, costs, and attorneys’ fees of any kind whatsoever arising directly or indirectly out of or in connection with: (i) your use or misuse of the Site or Services or any information posted on the Site; (ii) your breach of these Terms of Use or the Privacy Policy; (iii) the content or subject matter of any information you provide to NowPsych or any Provider; and/or (iv) any negligent or wrongful act or omission by you, including infringement of third-party intellectual property rights or privacy rights.

22. Limitation of Liability

EXCEPT AS PROVIDED BY LAW, AND WITHOUT LIMITATION:

25. Governing Law

These Terms of Use are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs Section 19. If the arbitration agreement in Section 19 is found to be unenforceable as to any claim, exclusive jurisdiction and venue for that claim will lie in the state or federal courts located in Sarasota County, Florida, and you and NowPsych each consent to the personal jurisdiction of those courts. Nothing in this Section limits the application of any state consumer-protection law, healthcare law, or other law that applies to you regardless of choice of law.

NowPsych reserves the right, in its sole discretion, to terminate your access to all or part of this Site, with or without cause, and with or without notice.
